End-User License Agreement (EULA)¶

IMPORTANT - READ CAREFULLY¶
This End-User License Agreement ("EULA") is a legal agreement between you (either an individual or a single entity) and ktyhub ("Licensor") for the IntelliJ IDEA plugin software product identified above, which includes computer software and may include associated media, printed materials, and "online" or electronic documentation ("Software").
By installing, copying, or otherwise using the Software, you agree to be bound by the terms of this EULA. If you do not agree to the terms of this EULA, do not install or use the Software.
1. GRANT OF LICENSE¶
Subject to the terms and conditions of this EULA, Licensor grants you a limited, non-exclusive, non-transferable, revocable license to:
- Install and use the Software on computers you own or control
- Use the Software in accordance with its documentation
- Use the Software solely for your internal business purposes or personal use
2. RESTRICTIONS¶
You may NOT:
- Reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code of the Software
- Modify, adapt, translate, or create derivative works based on the Software
- Remove, alter, or obscure any proprietary notices (including copyright notices) on the Software
- Rent, lease, lend, sell, redistribute, or sublicense the Software
- Use the Software for any illegal purpose or in violation of any applicable laws
- Use the Software in any manner that could damage, disable, overburden, or impair the Software
- Share your license key or access credentials with any third party
- Use the Software in a service bureau or time-sharing arrangement
3. INTELLECTUAL PROPERTY RIGHTS¶
The Software is licensed, not sold. Licensor retains all right, title, and interest in and to the Software, including all intellectual property rights therein. The Software is protected by copyright laws and international treaty provisions. All rights not expressly granted to you in this EULA are reserved by Licensor.
4. PROPRIETARY INFORMATION¶
The Software contains trade secrets and proprietary information of Licensor. You agree to maintain the confidentiality of such information and not to disclose it to any third party without the prior written consent of Licensor.
5. LICENSE TYPES AND RESTRICTIONS¶
5.1 Personal License¶
A Personal License is granted to an individual for personal, non-commercial use only.
5.2 Commercial License¶
A Commercial License is granted to an individual or organization for commercial use. The license is valid for the number of users specified at the time of purchase.
5.3 Trial License¶
If you are using a trial version of the Software, your license is limited to the trial period specified. The trial license may have limited functionality.
6. UPDATES AND SUPPORT¶
6.1 Updates¶
Licensor may provide updates, upgrades, or supplements to the Software. Such updates are governed by this EULA unless separate terms are provided, in which case those terms will apply.
6.2 Support¶
Technical support, if provided, is subject to Licensor's support policies and may require an active subscription or maintenance agreement.
7. TERMINATION¶
This EULA is effective until terminated. Your rights under this EULA will terminate automatically without notice if you fail to comply with any term of this EULA. Upon termination, you must:
- Cease all use of the Software
- Destroy all copies of the Software in your possession or control
- Uninstall the Software from all devices
8. WARRANTY DISCLAIMER¶
THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LICENSOR DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
LICENSOR DOES NOT WARRANT THAT: - The Software will meet your requirements - The operation of the Software will be uninterrupted or error-free - All Software errors will be corrected - The Software is compatible with all hardware and software configurations
9. LIMITATION OF LIABILITY¶
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL LICENSOR BE LIABLE FOR ANY SPECIAL, INCIDENTAL, INDIRECT, OR CONSEQUENTIAL DAMAGES WHATSOEVER (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF BUSINESS PROFITS, BUSINESS INTERRUPTION, LOSS OF BUSINESS INFORMATION, OR ANY OTHER PECUNIARY LOSS) ARISING OUT OF THE USE OF OR INABILITY TO USE THE SOFTWARE, EVEN IF LICENSOR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN ANY CASE, LICENSOR'S ENTIRE LIABILITY UNDER ANY PROVISION OF THIS EULA SHALL BE LIMITED TO THE AMOUNT ACTUALLY PAID BY YOU FOR THE SOFTWARE.
10. DATA COLLECTION AND PRIVACY¶
10.1 Data Collection¶
The Software may collect certain information about your use of the Software, including but not limited to: - Usage statistics - Error reports - Performance metrics - System information
10.2 Privacy¶
Any data collected will be handled in accordance with Licensor's Privacy Policy. Licensor will not sell, rent, or lease your personal information to third parties.
10.3 Analytics¶
The Software may use analytics tools to improve user experience and Software functionality.
11. EXPORT RESTRICTIONS¶
You acknowledge that the Software may be subject to export restrictions imposed by applicable laws. You agree not to export or re-export the Software in violation of any such restrictions.
12. THIRD-PARTY COMPONENTS¶
The Software may include third-party components that are subject to separate license terms. Such components are identified in the Software documentation, and their use is governed by their respective license agreements.
13. AUTOMATIC UPDATES¶
The Software may automatically download and install updates. By using the Software, you consent to such automatic updates, which are designed to improve, enhance, and further develop the Software.
14. LICENSE COMPLIANCE¶
Licensor reserves the right to verify compliance with this EULA. You agree to cooperate with Licensor's reasonable requests for information to verify compliance.
15. FEEDBACK¶
If you provide Licensor with any feedback, suggestions, or ideas regarding the Software ("Feedback"), you grant Licensor a perpetual, irrevocable, worldwide, royalty-free license to use, modify, and incorporate such Feedback into the Software or other products.
16. GOVERNING LAW¶
This EULA shall be governed by and construed in accordance with the laws of the jurisdiction in which Licensor is established, without regard to its conflict of law provisions.
17. DISPUTE RESOLUTION¶
17.1 Negotiation¶
The parties agree to attempt to resolve any dispute arising out of or relating to this EULA through good faith negotiation.
17.2 Arbitration¶
If negotiation fails, any dispute shall be resolved through binding arbitration in accordance with the rules of the applicable arbitration authority.
18. ENTIRE AGREEMENT¶
This EULA constitutes the entire agreement between you and Licensor regarding the Software and supersedes all prior or contemporaneous understandings and agreements, whether written or oral, regarding the Software.
19. SEVERABILITY¶
If any provision of this EULA is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.
20. WAIVER¶
No waiver of any provision of this EULA shall be deemed or shall constitute a waiver of any other provision, nor shall any waiver constitute a continuing waiver.
21. AMENDMENTS¶
Licensor reserves the right to modify this EULA at any time. You will be notified of any changes through the Software or via email. Your continued use of the Software after such notification constitutes your acceptance of the modified EULA.
